1. About Gritwood City and these terms

Gritwood City is a film community and collaboration platform built from Detroit and open to eligible participants beyond Detroit. It helps actors, filmmakers, and other participants discover each other, share professional information, manage casting activity, and coordinate projects through the features available to their accounts.

Gritwood City is currently operated by Michael E. Harris. In these Terms, "Gritwood City", "we", "us" and "our" mean Michael E. Harris in his capacity as the platform operator. Gritwood City Inc. is a planned corporation and has not yet been formed.

These Terms govern your use of the platform. The Community Guidelines also apply. Our Privacy Policy explains how personal information is handled. You must affirmatively accept the current required terms when creating or activating an account. If you do not agree, do not create or use an account. Simply receiving an invitation does not create an account or accept these Terms for you.

2. Eligibility and account responsibility

The beta is for people aged 18 or older who can enter a binding agreement. We ask you to confirm that you are 18 or older; we do not collect your date of birth. Do not register on behalf of a minor, create a minor's performer profile, or submit a minor's personal information through the beta.

Provide accurate account information and keep your credentials private. Stage names are permitted where the platform allows them, but impersonation and misleading claims about identity, representation, credits, or affiliation are not. An account does not establish that we have verified a person's background or professional credentials.

If you act for a production or organization, you must have authority to do so. Tell us promptly if you suspect unauthorized access to your account. You are responsible for your own conduct and the activity you authorize through your account.

3. Beta access and availability

Access may be invitation-based, limited by cohort, or restricted to particular features. An access request, approval, or waitlist position does not promise admission, a start date, casting opportunities, or future benefits.

Beta features may change, experience outages, or be withdrawn. Keep your own copies of important work and arrangements. We do not promise uninterrupted service, permanent storage, or that every announced feature will launch. We will explain material changes to active paid services if and when paid services are introduced.

4. Casting, projects, and independent arrangements

Unless a specific listing expressly identifies Gritwood City as the producer or contracting party, productions and opportunities are offered by independent members. Posting, reviewing, or displaying a listing is not an endorsement, employment offer, guarantee of payment, or guarantee of a safe production.

Gritwood City is not an employer, casting agency, talent agency, union, manager or agent, and does not act as one for any participant.

Members are responsible for their own casting, employment, contractor, union, payment, insurance, location, accessibility, and safety arrangements. Agree in writing on compensation, expenses, schedule, credits, performance rights, and permitted uses of recordings before work begins. A platform application, audition booking, shortlist, or message does not by itself create an employment or production contract.

Filmmakers must describe opportunities honestly, including whether work is paid, unpaid, deferred, or otherwise conditional. Do not describe speculative compensation as guaranteed. Make material changes clear to affected applicants. No participant may charge an audition fee or request payment in exchange for a guaranteed role through this platform.

5. Profiles, submissions, and your content

You retain ownership of the content you submit, subject to the rights of other people. You must have permission to upload and share headshots, reels, resumes, scripts, images, recordings, and other materials, including permission from people whose rights are involved.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, copy, format, transmit, and display your content only as reasonably necessary to operate, secure, support, and provide the platform according to your sharing choices. Service providers acting for us may perform those tasks. This license does not transfer ownership or authorize us to sell your work, license it for unrelated advertising, or create an AI replica of your face, voice, or performance.

Other members may use submissions only to evaluate and coordinate the relevant opportunity unless you separately authorize another use. Receiving an audition or reel does not grant production, publicity, training-data, or commercial exploitation rights.

When content is removed, our operational license ends except for limited retention needed for backups, legal obligations, security, or disputes as described in the Privacy Policy. Removal cannot recall copies already lawfully received by another participant or exported outside the platform.

6. Scheduling and external services

Confirm audition details with the organizer, particularly after a change or cancellation. Calendar exports are downloaded copies, not a live synchronization service. A downloaded event may contain a participant's name, an audition address, a remote meeting link, and a scheduled time. Changes on Gritwood City do not automatically update or delete those copies.

Third-party websites, media hosts, meeting tools, and calendar providers have their own terms and privacy practices. Do not share private meeting links or audition locations beyond their intended recipients.

7. Acceptable use

Follow the Community Guidelines. Do not use the platform for scams, harassment, threats, unlawful discrimination, exploitation, nonconsensual sexual content, impersonation, intellectual-property infringement, spam, or unauthorized collection of personal information.

Do not bypass access controls, attempt to read another member's private records, interfere with the service, introduce malicious software, or evade a suspension. Do not scrape profiles or submissions for bulk recruiting databases, facial recognition, model training, or unrelated marketing without authorization and any required permissions from the people involved.

8. Reports, moderation, and account restrictions

Use available reporting controls, or email safety@gritwoodcity.com for a safety concern and support@gritwoodcity.com for anything else, to report suspected violations. Include enough information to identify the issue; avoid unnecessary sensitive information. For immediate physical danger, contact emergency services first.

We may investigate, request clarification, limit visibility, remove content, or restrict or terminate access for violations, suspected abuse, security threats, or legal requirements. Where appropriate, we will explain a restriction and allow a response. We may act without advance notice where notice would create a safety or security risk, compromise an investigation, or conflict with law.

You may request review by emailing support@gritwoodcity.com with the relevant account and decision. We will consider relevant information, but do not guarantee reversal or a fixed response time. We do not promise to inspect every message, verify every listing, or resolve private contractual disputes.

9. Service limitations

To the extent permitted by law, the beta is provided "as is" and "as available." We do not guarantee that listings are accurate, a member will be selected, a project will be completed, a participant will pay, or the service will be uninterrupted or error-free. You should independently evaluate opportunities and protect your own original materials.

Nothing in these Terms excludes a warranty or consumer protection that cannot lawfully be excluded.

10. Responsibility for loss

You remain responsible for your own conduct, representations, and agreements. To the extent permitted by law, we are not responsible for another member's independent acts or omissions or for losses caused solely by third-party services outside our control.

Nothing in these Terms excludes or limits liability for our fraud, willful misconduct, gross negligence, or any liability that applicable law does not permit us to exclude or limit. These Terms do not impose a monetary liability cap, a general member indemnity, mandatory arbitration, or a class-action waiver.

11. Charges and future funding features

These Terms do not authorize a charge. Any future paid membership, subscription, event, campaign, contribution, or other purchase must disclose its price, billing schedule, benefits, cancellation terms, and applicable refund terms before you agree to pay.

Feature plans, supporter labels, badges, contributions, and participation do not grant shares, ownership, profit rights, or a guaranteed role. No contribution is represented as tax-deductible by these Terms. Crowdfunding, investment offerings, and fundraising services are not activated by this policy and would require their own accurate terms before launch.

12. Ending participation

You may stop using the platform and request account closure by emailing support@gritwoodcity.com from your account address. Closing an account does not cancel obligations under independent agreements, remove copies held by other participants, or require destruction of information we must retain for legitimate legal or security purposes.

Provisions that by their nature need to continue after closure, including ownership, permitted retention, outstanding obligations, and dispute provisions, continue to apply.

13. Changes and operator transition

We will post updated Terms with a new version and effective date. Material changes will be brought to affected members' attention before taking effect where practicable, and we will obtain renewed acceptance where required. Changes do not retroactively rewrite completed transactions.

If a newly formed corporation takes over the platform, we will identify the new operator, explain relevant changes in responsibilities and data handling, and provide any notice or consent required by law. Merely forming or naming a company does not silently substitute it into existing agreements.

14. Disputes and applicable law

Contact mharris@gritwoodcity.com so we can try to resolve a concern, or support@gritwoodcity.com for ordinary account and product problems. This does not prevent you from contacting a regulator or exercising a legal right, and is not a mandatory waiting period before bringing a claim.

Michigan law governs these Terms to the extent consistent with applicable mandatory law. Nothing removes rights you have under laws that apply regardless of this choice. These Terms do not require arbitration or designate an exclusive court.

We may request additional information. Repeated infringement may result in account termination.
